Monthly Membership Agreement and Recurring Billing Authorisation

1. Parties and membership selection

This Membership Agreement is between Cage & Caliber LLC d/b/a Lost Soul MMA ("Gym") and the adult purchaser or, for a youth membership, the parent or legal guardian shown at checkout ("Purchaser"). Where the member is not the Purchaser, the member's name and date of birth are recorded separately.

Offer summary. This is filled in at checkout, before payment is authorised, from the live price list. The table below shows the fixed terms for each tier. Prices are checked against the live price list.

For every tier the offer summary also states: billing frequency (monthly); first charge date; recurring billing date or rule; services included; excluded services; any initial fee (or none); any trial or promotion and the price after it (or none); and any minimum commitment (none, unless shown). The Purchaser sees this summary before authorising payment.

2. Recurring payment authorisation

The Purchaser gives this authorisation by ticking a recurring billing box that is unticked by default, and then completing checkout. The Purchaser authorises the Gym and its payment processor, Stripe, to charge the selected payment method the monthly price shown in the offer summary, each month, until the membership is cancelled under this Agreement. Payment continues each month whether or not the member attends, unless this Agreement or the law provides otherwise.

The Purchaser also authorises any taxes that apply and any fee that is shown and accepted before payment. No other charge is made. The Purchaser receives a confirmation that includes the renewal date and how to cancel. We keep a record of the accepted agreement version, the time, the transaction and the consent.

3. Billing and status

Billing happens on the schedule shown at checkout. If a payment fails, the account may show as past due. We may ask for updated payment details, retry the payment through Stripe, and suspend membership benefits until it is paid. We do not charge late fees that are not disclosed in advance. We will not change the monthly price without at least 30 days' advance notice to the Purchaser, sent in writing or as a typed electronic message. We will remind the Purchaser before the first charge at a new price. The change applies to billing periods that begin after the notice period ends. If the Purchaser does not accept the new price, they may cancel before it takes effect without any charge.

4. Cancellation by the Purchaser

The Purchaser may cancel at any time, through the self-service cancellation option in the member portal or the billing portal linked from it, or by emailing lostsoulmixedmartialarts@gmail.com with enough information to identify the account. We will not require an in-person visit or a phone call as the only way to cancel an online subscription.

Cancellation stops future renewals. It normally takes effect at the end of the monthly period already paid, and access continues until that date unless service is suspended for cause. If a cancellation is received before the next payment is started, we will not start a further renewal charge. We send a written confirmation of each cancellation.

5. Refunds, termination and disruption

Except where the law requires otherwise or we promise otherwise at checkout, fees for a billing period that has started are not prorated or refunded because the member did not attend, changed their mind, or cancelled part way through a period. Incorrect charges, and services we do not provide because we cancel them, are handled under the Refund and Service Cancellation Policy. If we materially reduce what is available or close permanently, we will refund prepaid services we do not deliver, as the law requires.

6. Benefits and booking limits

Benefits apply only to the tier shown in the offer summary. Bookings are subject to class capacity, instructor availability, scheduling rules and the weekly visit limit for the tier. Unused weekly visits expire at the end of the week unless the tier expressly allows rollover. Extra visits, private lessons, massage and event tickets are charged separately unless the offer says they are included.

7. Safety, youth participants and conduct

Training requires the Gym's current participation forms. Adults sign their own forms. A parent or guardian enrols a youth member and completes the youth participation agreement. Completing the forms does not prevent injury. The Gym may temporarily restrict participation where it reasonably believes there is an immediate safety risk. For breaches of the rules, the Gym may suspend or end a membership, with any notice or refund the law requires.

8. Transfer and sharing

Memberships are personal and cannot be transferred without our written approval. A member may not sell a class place, use another person's account, or let others use membership benefits.

9. Disputes and contact

10. Acknowledgment

By purchasing a membership or using our services, classes or systems, you agree to this Agreement. It sits alongside the other agreements you have signed with us and does not replace them, except where a later document expressly says it does.
