Website Terms of Use
Effective date: October 16, 2026. Version: 2026-10-16.
1. Operator, scope and acceptance
These Website Terms of Use ("Terms") are an agreement between you and Cage & Caliber LLC, doing business as Lost Soul MMA ("Lost Soul MMA," "we," "us," or "our"). They govern access to our main website, online storefront, class-booking features, membership portal and related digital services (together, the "Site"). Our separate affiliate program at affiliates.lostsoulaffiliate.com is governed by the Affiliate Program Agreement for anyone who participates in it.
By creating an account, placing an order, checking a required acceptance box, or using the Site, you agree to these Terms and to any additional terms shown for your transaction. If you do not agree, do not use the Site. The Monthly Membership Agreement governs recurring memberships, and the signed waiver governs the training risks it addresses. If a transaction-specific document conflicts with these Terms, the more specific document governs that transaction, to the extent the law allows.
2. Eligibility and accounts
You must be at least 18 years old to open your own account and buy services, unless you are a parent or legal guardian enrolling a minor in a youth program. Parents and guardians are responsible for the accuracy of the information they give and for their lawful consent. You must provide accurate information, keep your credentials confidential, not share your account, and tell us promptly about any suspected unauthorised use. We may ask for identity or guardian verification where appropriate.
3. Services, prices and availability
We offer martial arts and fitness instruction, monthly memberships, classes, drop-in and day passes, private lessons, youth programs, events and, where offered, massage appointments provided by independently contracted practitioners. Schedules, instructor assignments, service descriptions, prices and booking limits are shown before you buy and may change for future bookings and billing periods. Services do not promise any particular fitness, medical, competitive or self-defence result.
A membership is a separate subscription. One-time services do not create a membership. Each tier's price, included services, weekly class limit and exclusions are shown in the checkout offer and the Monthly Membership Agreement. Prices are in U.S. dollars. Our services and memberships are not charged sales tax.
4. Purchases and payment
Payments made online are processed by Stripe. You authorise the charges shown before you confirm an order. Recurring charges apply only if you separately give the recurring billing authorisation. We do not store full payment card numbers. Payments made in person (cash or card) are recorded in our booking records and receipted. A failed payment may leave an account past due and may restrict access until it is resolved, as the Monthly Membership Agreement describes. Purchases are subject to the Refund and Service Cancellation Policy.
5. Booking, attendance and conduct
Bookings are subject to stated capacity, scheduling rules, cancellation deadlines and any credit balance shown with the product or booking. Credits are not redeemable for cash except where the law requires. A no-show or late cancellation may use up a booking credit if this is disclosed at booking. We may refuse entry or suspend participation for unsafe behaviour, harassment, threats, intoxication, disregard of instructor directions, misuse of equipment or breach of posted facility rules. Any resulting fee or refund consequence will follow applicable law and our posted policies.
6. Physical activity and health
Martial arts, sparring, grappling, fitness activity and physical contact can cause serious injury, disability or death. Taking part requires completion of the current adult or youth participation forms. You must tell an instructor about any condition that restricts your participation, and decide with a health professional, where needed, whether an activity is suitable for you. Our instructors and this Site do not give individual medical advice. The Adult Waiver and Youth Participation Agreement set out these risks in full, and these Terms do not replace them.
7. Massage services
Where we offer massage, it is provided by separately contracted, licensed practitioners who carry their own professional insurance. The booking page identifies the actual provider, the price, the appointment and cancellation policy, and any separate intake or consent terms. Practitioners are contractors, not employees, and we do not guarantee any therapeutic outcome.
8. Intellectual property and permitted use
Unless stated otherwise, the Site's text, graphics, photographs, logos, trade names, software and original content are owned or licensed by Cage & Caliber LLC. You may view the Site for lawful personal purposes. You may not copy, scrape, resell, distribute, reverse-engineer or commercially exploit our material without our prior written consent or another legal right. You must not upload unlawful, infringing or harmful content, attack the Site, get around security or access controls, or impersonate another person.
9. User-submitted materials and photography
If you submit a review, testimonial, photo or other feedback, you confirm that you have the rights to do so. Photo and video recordings taken at our facility, and their use in our advertising, are governed by the signed participation waiver. You may withdraw that permission for future use at any time by written notice to us. Buying a service or using the Site never requires you to agree to appear in advertising. We may remove submitted content that breaks the law or our policies.
10. Third-party services and availability
The Site uses third-party technology and may link to independent services. Those services have their own terms and privacy practices. We aim for reliable access but cannot guarantee uninterrupted service. We may fix technical errors, suspend service to protect security, and give notice of material changes.
11. Disclaimers and liability
To the extent the law allows, the Site and its informational content are provided "as available," without any promise of uninterrupted or error-free operation. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud, willful misconduct, or negligence where the law does not allow a waiver. To the fullest extent the law permits, our liability for a claim arising only from your use of the online Site (not personal injury or in-person training) is limited to the amount you paid us for the online service giving rise to the claim in the 12 months before the claim, or $100, whichever is less.
12. Responsibility for misuse
You agree to reimburse reasonable losses and expenses that third parties suffer because of your unlawful use of the Site, intentional misconduct, or infringement of another person's rights. This does not cover losses caused by our negligence or by conduct that cannot lawfully be shifted to you. This section is subject to applicable consumer protection law.
13. Disputes and governing law
Michigan law governs these Terms, without displacing mandatory consumer protections. Please raise any dispute with us in writing first. We will try in good faith to resolve it within 30 days.
If the dispute is not resolved, it will be decided by individual binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in St. Clair County, Michigan, or by video or telephone if you prefer. You and we may not bring or join a class, consolidated or representative action. Either party may instead bring an individual claim in small claims court if it qualifies.
You may opt out of arbitration by writing to us within 30 days after you first accept these Terms. If you opt out, disputes will be decided by the courts with jurisdiction in St. Clair County, Michigan. You keep any right to complain to a regulator.
14. Changes, notices and severability
We may update these Terms for future use and will show a new effective date and version. We will give notice of material changes affecting purchases or existing commitments as the law requires, and will obtain fresh consent where the law requires it. Continued use is acceptance only where that is enforceable. If a provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it.
